LIFESTACK TERMS AND CONDITIONS

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY. By registering for or using the Lifestack website or mobile application (the "Platform"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, you must not use the Lifestack Platform.

These Terms form a legal agreement between you and Lifestack Ltd ("Lifestack", "we", "us" or "our"), a company registered in England and Wales (Company No. 16002684), with registered address at 78 York Street, London, England, W1H 1DP. The Terms govern your access to and use of our Platform, which provides health and wellness-related content, social features (such as feeds and messaging), user-created "stacks" (collections of wellness actions or supplements), and a marketplace linking to third-party product sellers.

In addition to these Terms, you should also review our Community Guidelines (if any) and other policies referenced in these Terms. We may update these Terms from time to time as described in the Changes to Terms section below.

1. Eligibility (Age and Personal Use Only)

  • Age Requirement: You must be 18 years of age or older to create an account or use the Platform. Lifestack is intended for adults only. The Platform is not designed to be accessible to children, and we implement age assurance measures (such as self-declaration during registration and potential ID verification during registration or for flagged accounts) to prevent access by those under 18. By registering or using Lifestack, you represent and warrant that you are at least 18. If you are under 18, do not use Lifestack. We reserve the right to verify your age at any time and suspend or terminate accounts of users who are under 18.
  • Individuals Only – No Companies: Lifestack is for personal, individual use. Companies, organisations, or any business entities are not permitted to create accounts or use the Platform in their corporate capacity. You may not create an account on behalf of a company or use your personal account primarily to advertise or promote a company's products or services. Lifestack currently does not allow companies to pay for promotions or advertising on the Platform.
  • Personal Use and Limited Commercial Activity: You agree to use Lifestack for your own personal health and wellness purposes. Commercial activities are generally prohibited on Lifestack without our express approval. However, individual professionals (for example, a fitness trainer or wellness coach) may be permitted to share advice or promote their own personal services in a limited manner, with Lifestack's approval and in compliance with these Terms. Such individuals must still register as personal users (not as a business) and must not engage in unwanted solicitation or spam. Lifestack reserves the right to revoke this permission for any user and to remove content that it deems overly promotional or not in the spirit of personal use. Applications should be made to support@lifestack.health.
  • Location and Compliance: You are responsible for ensuring that your use of the Platform is compliant with all laws and regulations applicable to you. Regardless of your location, you must meet the above age and use criteria. If you are accessing Lifestack from outside the UK, you do so on your own initiative and you are responsible for compliance with local laws as well, to the extent they apply.

2. Account Registration and Security

  • Account Creation: To access certain features of Lifestack, you must create an account. When you register, you agree to provide accurate, current, and complete information about yourself. You must keep this information up-to-date (for example, if you change your email address).
  • Account Security: You are responsible for maintaining the confidentiality of your account login credentials. Do not share your password with others. If you suspect any unauthorised use of your account or a security breach, you must notify us immediately. You are responsible for all activities that occur under your account, whether or not you know about them.
  • One Account Per Person: You should register only one account for your personal use. You must not create multiple accounts or create an account for someone else without permission. Account transfers are not allowed – you cannot sell, transfer, or allow any other person to use your account.
  • False Identity: You must not impersonate any other person or entity or use false details. Using fake names or creating a profile for someone other than yourself (except as allowed under an official alias/pseudonym in compliance with our rules) is prohibited. We may require you to verify your identity or eligibility criteria (such as age) at any time.
  • Account Termination: We reserve the right to suspend or terminate your account if any information provided during registration or thereafter proves to be inaccurate, false, or misleading, or if you otherwise violate these Terms. (See Termination below for more details.)

3. Acceptable Use and Community Guidelines

We want Lifestack to be a positive and safe community for health and wellness discussions. By using the Platform, you agree to behave respectfully and lawfully. You are solely responsible for all your activities and communications on Lifestack. In particular, you agree that you will NOT:

  • Violate Laws or Rights: Do anything that breaches any applicable law or regulation. This includes posting content or engaging in activities that violate intellectual property rights, privacy rights, or any other rights of others. This also includes "priority illegal content" as defined under the Online Safety Act 2023, such as fraud (e.g., scam health product links), terrorism, child sexual abuse, or incitement to violence or self-harm.
  • Post Prohibited Content: Upload, share, or send any content that is illegal, harmful, encouraging self-harm, misleading, fraudulent, defamatory, pornographic, obscene, hateful, or otherwise objectionable. Offensive or undesirable content is not allowed. Examples of prohibited content include (but are not limited to) hate speech, harassment, threats, child exploitation, excessive violence, or any content that is discriminatory (e.g., on the basis of race, religion, gender, sexual orientation, etc.). For health-related content, this includes promoting unregulated medical products or dangerous advice that could lead to harm (e.g., unverified self-harm or eating disorder tips).
  • Harass or Harm Others: Bully, intimidate, harass, stalk, or threaten other users. You must not use the Platform to abuse or mistreat anyone. This applies to all interactions, including posts, comments, and private messages.
  • Give Medical Advice as a Non-Professional: Present yourself as a medical professional (e.g., a doctor or licensed nutritionist) if you are not one, or give specific medical or health advice that you are not qualified to provide. (General wellness tips from personal experience are fine, but do not portray personal opinions as professional medical advice – and remember our No Medical Advice disclaimer applies to all content.)
  • Spam or Unwanted Solicitation: Post spam or irrelevant content, repeatedly post the same content, or send mass unsolicited messages. This includes recruiting or advertising to users without permission – for instance, do not repeatedly push a product, service, or external link in a manner that is disruptive. Commercial advertising is not allowed (see Eligibility above regarding limited exceptions for personal services).
  • Misuse Platform Features: Do not misuse any features of the Platform. For example, do not use automated scripts, bots, or scrapers to collect information or interact with the Platform; do not upload viruses or malicious code; and do not attempt to circumvent any security or content-filtering measures we have in place.
  • Interfere with Others' Use: Do not disrupt or attempt to negatively affect the experience of other users. This includes not disrupting discussions, not sabotaging others' "stacks" or content, and not engaging in personal attacks.
  • Circumvent Blocks or Bans: If another user has blocked you, do not attempt to contact them through other means on the Platform or create a new account to circumvent the block. Similarly, if you are banned or suspended by Lifestack, you must not create another account to bypass that restriction.

User Interactions – Messaging and Blocking: Lifestack may allow you to send direct messages or otherwise communicate privately with other users. You agree to use the messaging feature responsibly and not to harass, spam, or send inappropriate content to anyone. If you receive unwanted or inappropriate messages from another user, you have the ability to block that user. The block feature is provided to help you prevent specific users from contacting you or seeing your content. You should respect other users' boundaries – if someone blocks you, you must not try to circumvent that block. We encourage users to report any abusive messaging or interactions to us so we can take appropriate action. Any such report can be made to support@lifestack.health.

By adhering to these guidelines, you contribute to a healthy community. Violation of the above rules may result in content removal, account suspension, or other enforcement actions as described under Content Moderation and Enforcement and Termination below.

4. User-Generated Content and Ownership

Your Content: Lifestack allows users to create, upload, and share content, including health and wellness posts, comments, profile information, "stacks" (collections of actions or supplements), photos, articles, and other materials ("User Content"). You retain ownership of any intellectual property rights in the User Content that you create and share on Lifestack. In other words, what you create is yours.

Licence to Lifestack: By submitting or posting User Content on the Platform, you grant Lifestack a worldwide, non-exclusive, royalty-free, transferable, and sub-licensable licence to use, host, store, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display your content (in whole or in part) in any media or distribution methods now known or later developed. This licence to Lifestack allows us to operate, promote, and improve the Platform, and to make your content available to other users of Lifestack and, where applicable, to the general public.

  • Your Rights Remain: This licence does not transfer ownership – you continue to own your content. It also does not make your content exclusive to us – you are free to use your content outside of Lifestack, delete it from Lifestack, or grant similar licences to others (provided that doing so does not violate anyone else's rights or any of your obligations under these Terms).
  • Duration of Licence: This licence is granted for as long as your User Content is available on the Platform and for a reasonable period of time afterward. In practice, the licence ends when you remove or delete your content from Lifestack, with some exceptions: (a) if your content has been shared by others, then it may continue to appear on the Platform until those users delete it; and (b) Lifestack may retain archived copies of your content as described below even after you delete it.
  • Licence to Other Users: You also grant other users of Lifestack a limited licence to access and use your content within the Platform, as permitted by the functionality of Lifestack and these Terms.
  • Your Content Warranties: You represent and warrant that you have all necessary rights to post the content that you submit; and that your content does not violate any law or infringe any third-party rights (such as copyright, trademark, privacy, or data protection rights).

Content Removal by You: You can delete your posts or other content from Lifestack at any time using the provided features. Once deleted, the content will generally cease to be visible to other users on the Platform, but note the following exceptions:

  • Shared Content Copies: If your content was copied, quoted, or re-posted by other Lifestack users, those copies may remain visible.
  • Search and Cache: Deleted content may still temporarily appear in search engine results or cached pages outside of Lifestack, until those services update their data.
  • Archives and Backup: Lifestack may retain server backups or archive copies of your content for up to 6 years after you delete it, for legal, compliance, or legitimate business purposes. This archived content will not be accessible to other users.

Retention of Articles and Long-Term Content: Certain types of user contributions – for example, detailed wellness articles or long-form posts – may be retained on our Platform for an extended duration. Lifestack reserves the right to keep such content available for up to 15 years, unless you choose to delete it earlier or we remove it pursuant to these Terms.

Our Intellectual Property: Aside from your User Content, all other content on the Platform is owned by Lifestack or our licensors. This includes the Lifestack name, logo, branding, design, software code, and all features and content we provide. Lifestack grants you a limited, revocable, non-transferable, non-exclusive licence to use them solely to use the Platform in accordance with these Terms. You may not copy, distribute, modify, or create derivative works from any of our Materials, and you must not use our intellectual property without our prior written consent. All rights not expressly granted to you in these Terms are reserved by Lifestack.

5. Content Moderation and Enforcement

5.1 General

Lifestack values an open community, but we also reserve the right to maintain the integrity of our Platform through moderation. Lifestack has editorial discretion and may remove any content that we, in our sole judgement, deem offensive, inappropriate, or otherwise undesirable.

  • Monitoring: Lifestack is not obligated to pre-screen or monitor all User Content. However, we and our moderators (including automated systems) may monitor, screen, or review any content or communications on the Platform at any time. We use proactive technologies, such as AI-based tools, to detect and prevent illegal or harmful content, as required under the Online Safety Act 2023.
  • Removal and Restriction: We reserve the right to edit, refuse to publish, or remove any content at our discretion, with or without notice. For priority illegal content, we aim to minimise its presence and remove it swiftly upon awareness, typically within 24 hours of reports or detection.
  • Account Actions: If you violate these Terms or any applicable laws, or if we suspect misconduct, Lifestack can take action on your account, including warning, suspension, restrictions, or termination.
  • No Liability for Enforcement: Lifestack is not liable for any consequences of removing content or terminating accounts, and you agree that we won't be responsible to you or any third party for such actions.
  • Reporting: If you encounter content or user behaviour that you believe violates these Terms, you can report it through the provided channels (such as a "Report" button or via support@lifestack.health). Reports can be made easily via one-click tools for illegal or harmful content, and we prioritise reviews for priority harms under the Online Safety Act.
  • Appeals: In some cases, if your content is removed or your account is affected and you believe this was in error, we may provide an avenue to appeal the decision. While we cannot guarantee reinstatement, we will consider your appeal in good faith.

5.2 Complaints Handling

To comply with the Online Safety Act 2023, we provide an easy-to-use complaints process. Complaints can be submitted via the in-app "Complaints" form or email to support@lifestack.health. We will acknowledge receipt within 48 hours and aim to resolve within 28 days, with escalation options to OFCOM if unsatisfied.

5.3 User Rights for Claims

Under the Online Safety Act 2023, you may have the right to bring a claim against us in court if we breach these Terms by wrongly removing or restricting your content, suspending your account, or failing to protect you from illegal or harmful content (excluding one-to-one private messages). We will not unduly restrict your ability to pursue such claims.

6. Subscriptions, In-App Purchases, and Payments

Lifestack Services and Plans: Lifestack may offer both a free membership (with basic features) and paid subscription plans (with additional or "premium" features, content, or perks). We may also offer one-time in-app purchases for certain digital items or content.

  • Paid Subscriptions: If you choose to subscribe to a paid plan, you will be charged the subscription fee indicated at the time of purchase. Subscription fees are billed in advance on a recurring cycle until you cancel. You authorize us (or our payment processor) to charge your provided payment method for the applicable subscription fees, including any applicable taxes.
  • Free Trials and Promotions: Lifestack may occasionally offer free trials or promotional subscriptions. After a free trial ends, if you have not cancelled, you will be automatically rolled into a paid subscription. You are responsible for tracking when the trial period ends.
  • Auto-Renewal: Paid subscriptions renew automatically at the end of each billing cycle, unless you cancel before the next renewal date. If a renewal charge fails, we may attempt to re-charge or suspend/cancel your subscription for non-payment.
  • In-App Purchases: In-app purchases are one-time purchases of digital products or features within the Platform. All sales are final except as outlined in Section 7 or as required by law.
  • Third-Party Payment Platforms: If purchases are processed via Apple App Store or Google Play Store, their payment and refund policies may also apply. It is your responsibility to manage or cancel subscriptions through those platforms if that is where you signed up.
  • Taxes: Prices are stated in GBP (£) by default and include any applicable VAT or sales taxes, unless stated otherwise. We will display applicable charges before you confirm any purchase.
  • Changes to Fees: We may change prices with at least 30 days' notice for subscriptions. The new price applies at the next billing cycle after notice. If you continue after the effective date, you accept the new price.
  • Payment Information: Provide current, complete, and accurate billing information. We may use third-party payment processors and do not store full card details on our own servers.

Your use of paid services is also subject to consumer protection laws – see the next section.

7. Cancellation and Refund Policy

We follow UK consumer law for cancellations and refunds:

  • 14-Day Cooling-Off Period (Subscriptions): You have the legal right to cancel a new subscription within 14 days from the day after the subscription begins and receive a full refund. If you used premium features during the period, we may deduct for the value of service provided.
  • Requesting Cancellation (Within 14 Days): Contact support@lifestack.health or use in-app cancellation. If you subscribed via an app store, you may need to use that store's process. We will process your refund typically within 14 days.
  • Immediate Supply of Digital Content: For one-time digital purchases delivered immediately, you acknowledge you may lose the right to cancel for a refund once download/access starts.
  • Cancelling Subscriptions After 14 Days: You can cancel anytime, but no refund is provided for the current billing period. Cancellation takes effect at the end of the paid term.
  • How to Cancel (General): Cancel via account settings or through the app store where you subscribed. The effective cancellation date is when your current paid period ends.
  • Refunds for Issues: If paid services/content are faulty, not as described, or not provided with reasonable care and skill, you may be entitled to remedies under the UK Consumer Rights Act 2015.
  • Third Party Retailers: If you purchase via third-party retailer links, you contract directly with that retailer. Lifestack will not be responsible for any failure of a third party retailer save as required by law.
  • No Refunds Outside Policy: Except as stated or required by law, we do not offer refunds. Any exceptions are at Lifestack's sole discretion.
  • Withdrawal Form: If you are a UK/EU consumer, you have the right to use the model withdrawal form, but a clear email statement is sufficient.

In summary, you have 14 days to change your mind on new subscriptions (with deductions possible if used). After that, cancellation stops renewal, generally without mid-term refunds.

8. Third-Party Content and Marketplace

Third-Party Content and Links: The Platform may contain links to third-party websites/resources, embedded third-party content, and a marketplace feature that redirects to third-party sellers. Lifestack does not sell those products, nor do we guarantee or endorse them.

  • Not Our Control: Third-party sites/services are not under our control. If you click external links, you are subject to those third parties' terms and privacy policies. We do not endorse any third-party content or product just because it appears on our Platform.
  • Marketplace Disclaimer: We do not vet every product and do not take responsibility for quality, safety, or legality. Lifestack is not the seller; we merely provide a referral or hyperlink. We do not process payments or handle fulfillment for third-party products.
  • No Warranty for Third-Party Deals: Any purchases or dealings with third parties are at your own risk. We will not be responsible for any loss or damage incurred.
  • Third-Party Login or Features: If Lifestack allows login or integration through third-party platforms, those services are third parties and subject to their terms of use as well.
  • Advertisements: Currently, Lifestack does not host paid advertisements from companies. If in the future we do, we will identify it as such.
  • Third-Party Links: We prohibit links to illegal products and remove them swiftly per our moderation duties.

If you promote products/services with a financial/material connection, you must clearly disclose this. Lifestack does not vet or verify qualifications, credibility, or legality of services promoted by users. Users engage at their own risk.

9. No Medical Advice (Health and Wellness Disclaimer)

Lifestack is not a medical or healthcare provider. Content and features are for general informational and educational purposes only and do NOT constitute medical advice.

  • Not a Substitute for Professional Advice: Always consult a qualified healthcare professional. No information on our Platform should be used to diagnose, treat, cure, or prevent any disease.
  • User Contributions: Users may share personal experiences and opinions. Lifestack does not verify credentials and does not endorse any particular regimen, supplement, or practice.
  • Use at Your Own Risk: Any reliance on information via Lifestack is strictly at your own risk. Content may be inaccurate or outdated. You assume full responsibility for actions based on Platform content.
  • AI-Generated Content Disclaimer: Some content/recommendations may be generated using AI tools. These are for informational purposes only, not reviewed by medical professionals, and may contain inaccuracies.
  • Emergency Situations: If you are in a medical emergency, do not use Lifestack. Call emergency services immediately. Never delay seeking professional medical advice because of something on our Platform.

10. Disclaimer of Warranties

Lifestack is provided on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by law, we disclaim all warranties, including merchantability, satisfactory quality, fitness for purpose, and non-infringement.

  • No Guarantee of Accuracy or Outcomes: We do not warrant accuracy, completeness, or usefulness of information. We do not guarantee health outcomes.
  • Service Availability: We do not guarantee uninterrupted, error-free service or compatibility with all devices.
  • Quality and Reliability: We make no warranty that content quality will meet your expectations. User Content is the responsibility of the user who provides it.
  • Third-Party Services: We disclaim warranties for third-party products/services accessed via the Platform.
  • No Advice Creates Warranty: No advice or information obtained from Lifestack shall create any warranty not expressly stated in these Terms.

Some jurisdictions do not allow exclusion of certain warranties. Nothing in these Terms affects statutory consumer rights that cannot be excluded.

11. Limitation of Liability

Use of Lifestack is at your own risk. To the maximum extent permitted by law, the Lifestack Parties shall not be liable for:

  • Health Outcomes or Personal Injury: Any health outcomes, injuries, or damages from using Lifestack or following Platform content.
  • Indirect or Consequential Losses: Any indirect, incidental, consequential, special, or punitive damages, or loss of profits, revenues, data, etc.
  • Third-Party and User Actions: Acts, omissions, or content of third parties including other users.
  • Service Interruptions or Errors: Damage or loss from inability to use Lifestack or from errors in the service.
  • Legal Claims Beyond Our Control: Claims by third parties due to your breach of these Terms.

Cap on Liability: Our total liability is limited to the greater of: (a) £5000 GBP; or (b) the total amount you paid to Lifestack in the 12 months before the event giving rise to your claim.

Non-Excludable Liability: Nothing excludes liability for death/personal injury from negligence, fraud, or any liability that cannot legally be excluded.

Assumption of Risk: You acknowledge health/fitness activities carry inherent risks and voluntarily assume full responsibility for risks associated with such activities.

Your Responsibility: You acknowledge that ultimate responsibility for your choices lies with you, and these limitations are reasonable.

12. Termination of Use

Both you and Lifestack may terminate this agreement:

  • Your Right to Terminate: You may stop using Lifestack at any time and request account deletion via settings or by contacting us.
  • Our Right to Terminate or Suspend: We may suspend or terminate access at any time, with or without notice, if we reasonably believe you violated these Terms, created legal risk, engaged in harmful conduct, or the Platform is discontinued.
  • Effect of Termination: Your access ends immediately. Certain provisions survive termination. If you had a subscription, termination for breach may result in forfeiture without refund.
  • Account Reactivation: If suspended, we may restore your account case-by-case. If terminated, you are not entitled to create a new account unless expressly invited.
  • Data Portability: Before deletion, save information you wish to keep. We do not guarantee data export except as required by law. See our Privacy Policy for details.

Termination does not affect existing payment obligations or liability incurred prior to termination.

13. Changes to These Terms

We may update these Terms from time to time.

  • Notification of Changes: Material changes notified with reasonable notice (via website, app, or email). Minor changes may take effect immediately.
  • Acceptance of Changes: Continued use after updated Terms take effect constitutes acceptance. If you disagree, stop using the Platform before changes apply.
  • Review Regularly: Review these Terms periodically. We will archive prior versions for reference.
  • If You Object: If a change materially affects you detrimentally, you may terminate your subscription and contact us about any refund due.

No modification by you is binding unless agreed in writing by Lifestack.

14. Governing Law and Jurisdiction

  • Governing Law: These Terms are governed by the laws of England and Wales, regardless of your country of residence.

If you use Lifestack from outside the UK, you are still contracting under English law. Local consumer protection laws remain applicable as required but do not override English law to the extent permissible.

  • Jurisdiction: The courts of England and Wales have exclusive jurisdiction. If you are a consumer elsewhere, you may have the right to bring claims in your local courts if applicable law grants you that right.
  • International Use: We make no representation that the Platform is appropriate in all locations. Accessing from territories where content is illegal is prohibited. You are responsible for compliance with local laws.

15. Miscellaneous Provisions

  • Entire Agreement: These Terms and incorporated documents constitute the entire agreement and supersede prior understandings.
  • Severability: If any provision is invalid/unenforceable, it will be modified or severed to the minimum extent necessary.
  • No Waiver: Delay or failure to enforce rights is not a waiver. Waivers must be explicit and in writing.
  • Assignment: Lifestack may assign these Terms as part of business transfers. You may not assign without our written consent.
  • No Third-Party Rights: These Terms do not confer rights on third parties under the Contracts (Rights of Third Parties) Act 1999 or otherwise.
  • Relationship of Parties: Nothing creates a partnership or employment relationship.
  • Headings: Section titles are for convenience only and have no legal effect.
  • Language: These Terms are in English. The English version prevails over any translation.
  • Further Assurance: You agree to execute further documents and perform further acts as reasonably required to implement these Terms.
